Service Description

NovaAudit Group provides financial audit services to businesses in Canada. Our services include, but are not limited to, external audits, tax reviews, and compliance checks. The specific scope of services will be defined in a separate engagement letter or agreement between NovaAudit Group and the client.

Client Responsibilities

When engaging our services, clients are responsible for:

• Providing accurate and complete information necessary for the performance of our services.
• Making available all relevant records, documentation, and personnel as required.
• Notifying us promptly of any changes that may affect the services we provide.
• Implementing recommendations at their discretion and taking responsibility for the results of such implementation.

Fees and Payment

Our fees for services are based on the time required by the individuals assigned to the engagement, the complexity of the service, and the level of expertise required. We will provide a fee estimate before beginning any work, and any substantial changes to the estimated fee will be discussed with the client in advance.

Payment terms will be specified in the engagement letter or agreement. Unless otherwise stated, payment is due within 30 days of the invoice date.

Confidentiality

We are committed to maintaining the confidentiality of the information we receive from clients. We will not disclose any confidential information to third parties without the client's consent, except as required by law or regulatory requirements.

Limitation of Liability

To the fullest extent permitted by applicable law, NovaAudit Group shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your use or inability to use the Website or services.
• Any unauthorized access to or use of our secure servers and/or any personal information stored therein.
• Any interruption or cessation of transmission to or from the Website.
• Any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Website by any third party.

Our liability for any damages arising out of the services we provide will be limited to the fees paid for the specific service giving rise to the claim.

Indemnification

You agree to defend, indemnify, and hold harmless NovaAudit Group, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Website or services.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Website shall be instituted exclusively in the courts of the Province of Ontario, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country.

Changes to These Terms

We may revise and update these Terms from time to time at our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Website thereafter. Your continued use of the Website following the posting of revised Terms means that you accept and agree to the changes.
